SENIOR LEGAL COUNSEL FOR THE MIDDLE EAST AND WESTERN ASIA:

· Legal optimization and securization of the export commercial engineering services implemented by the Region to support the export initiatives undertaken by the Thales Group business units in the relevant Region’s countries;
· For the purpose of identifying, validating and selecting the Business Advisers, analysis, implementation and updating of the “due diligence” files in coordination with the “Country Directors” and/or “Operational VPs”;
· Drafting, negotiation, validation and management of the contracts executed by the Regional Agency with the Business Advisers;
· Legal support and “legal secretariat” of subsidiaries, affiliated companies, branches and liaison offices in the Region;
· Legal monitoring and awareness by analyzing local laws and regulations;
· Setting up of dedicated organizations under the form of wholly-owned subsidiaries, joint ventures, branches or the implementation of specific industrial and/or commercial collaboration arrangements;
· Drafting and negotiation of contracts for the exporting units in the Region and for the Regional companies;
· Management from time to time pre-litigation issues.

- Etude, rédaction et négociation des contrats/accords de la BL
- Gestion des situations pré-contentieuses de la BL
- Conseils divers aux opérationnels de la BL (Phases Projet et Affaire)
- Export Business Review, Co-Dir de BL, Revues d’Affaires et de Projets
- Droit des sociétés (secrétaire général société affiliée à la BL)
- Coordination avec les juristes du Siège et Multi-Domestiques
- Missions à l’étranger
- Activités transverses de la DJ (Formations Internes, outils collaboratifs…)

JURISTE, DROIT DES CONTRATS, DES NTIC, DE LA PROPRIETE INTELLECTUELLE

- Etude, rédaction et négociation des contrats de vente et d’entreprise, partenariats
- Propriété intellectuelle : contrats de licence, de distribution et de vente de logiciels
- Gestion des Marchés Publics
- Gestion des pré-contentieux et contentieux
- Contract Management
- Formation juridique des équipes opérationnelles et commerciales
- Veille juridique
- Participation à l’élaboration de guides contractuels auprès du Syntec Informatique

JURISTE EN DROIT DES CONTRATS, DES NTIC, DE LA PROPRIETE INTELLECTUELLE, ET DES MEDIAS AU SEIN DE LA FILIALE INTERNET M6 WEB :

- Rédaction et négociation des contrats de partenariat, de licence, de référencement, des lettre-accords et échanges
- Gestion des noms de domaine et formalités CNIL
- Interface avec la Régie Publicitaire du Groupe, le Service Marketing et le Business Development
- Négociations commerciales avec les partenaires (2 mois au Service Business Développement)
- Rédaction de la Charte des Communautés M6 WEB (chats et forums) et des Conditions Générales d’Utilisation des sites Internet
- Veille juridique / concurrentielle, conseils aux opérationnels, entretien de recrutement de stagiaires
